Terms and Conditions of Sale

CREDIT

Each delivery is subjected to credit arrangements. If payment is not made in accordance with terms or if at any time in the Seller's judgment, the Buyer's credit standing has been impaired, the Seller may withhold delivery of any material ordered until satisfactory credit arrangements have been established.

SHIPMENTS

Shipment arrangements will be based upon negotiation with the Buyer. Materials can be shipped in 20' or 40' containers.

CUSTOMERS

Plastiglas de Mexico reserves the right to sell Chemcast®GP to Authorized Chemcast®GP Distributors strategically located throughout the world.

MINIMUM ORDERS

Minimum orders in clear and color: 4 standard pallet.

Minimum order per color, size and thickness: 25 sheets as part of a full pallet.

QUALITY

All sheet are quoted based on NET SIZE. Cut to size is quoted upon request. All sheets are normally protected both sides with special PE film or masking paper. Protection of the sheet with a film suitable for thermoforming is available upon request.

COLOR MATCHING

All our color matching request will be processed in the following manner:

a) Every attempt will be made to match your request with one of the many existing formulations now available from our color bank. Seller will provide sample swatches of identical or near identical in color and color light transmission.

b) If a satisfactory existing color cannot be found, Seller will reproduce your particular color. This procedure will require between 1530 days to submit samples for approval and a deposit of 500 USD.

c) Once the color is accepted the lead time is 6 8 weeks and the purchase order should be of a minimum of 100 sheets.

d) Minimum volume for any custom color will depend upon sheet's thickness and sizes (see table 1). Quantities on other thickness and sizes will be quoted upon request. All sheets must be shipped at one time to one destination.

e) Cancellation policy: any approved custom color will be subject to 100% cancellation charge. No refund allowed on any development charge.

f) Price and availability of existing custom color is provided upon request.

CANCELLATION POLICY

The Seller will accept cancellation of any item if receives notification 3 (three) weeks prior the scheduled shipping date. If the cancellation is received and the material has been manufactured, a cancellation charge of 50% of the value of the invoice will be assessed.

PRICE CHANGES

The prices quoted are subjected to change without notice. Revised price shall apply to shipments made on or after the effective date of change.

GENERAL WARRANTY OF SELLER

Seller warrants that the goods sold to the Buyer shall be of merchantable quality. Except for the foregoing warranty, Seller makes no other warranties, expressed or implied. Seller expressly disclaims any implied warranty of fitness for a particular purpose. Buyer assumes all risks whatsoever as to the result of the use of the goods purchased, whether used singly or in combination with other substances. The specifications (values of warranty) will be available at Buyer's request.

LIMITATION OF CLAIM

No claim of any kind whether as to quality or amount of materials delivered or for non delivered of materials shall be greater in amount, than the purchase price of the material in respect of which damages are claimed, and in addition, Seller shall have no liability whatsoever for consequential damages (including but not limited to damages for injuries to persons or to property). Failure by Buyer to give Seller written notice of claim within 30 days from date of delivery or in the case of non delivery from the date fixed for delivery, shall constitute a waiver by Buyer of all claims in respect of such materials.

After reviewing the claim: samples, labels, etc. will be requested by Seller for proper determination of the claim. Upon the findings, Buyer will be advised of the approval or denial of submitted claim.

FORCE MAJEURE

In the event of an act of God (including, but not limited of flood, earthquake or other calamity) war or arm conflict or serious threat of the same (including but not limited to hostile attack, not or insurrection), governmental order or regulation (including but not limited to the prohibition or restriction of importation or exportation or allocation of energy resources), labor disputes or any other similar reason which will seriously affect Buyer or Seller, or in the event of severe shortage of oil, gas, electricity or raw materials which prevents Buyer or Seller from continuing its normal level of operation, Buyer or Seller shall notify in written term such event (s) and Buyer or Seller may, in its sole discretion and upon written notice either terminate the contract/agreement or the portion thereof affected by such event (s).
